I'm trying to figure out if the Peerless Assassin 120SE cooler will work with my RAM and motherboard setup. I'm a bit concerned about clearance issues, especially with the heat shield around the I/O. Can anyone share their experiences or knowledge about this?

You should be good to go! I put together a similar build, and I can confirm that the Peerless Assassin has ample clearance with motherboards that have a VRM heatsink of similar height. If there are any issues, you can just slide the fans up a bit during installation to make it fit better.
Don't worry too much about clearance! Most air coolers, like the Peerless Assassin, allow for a bit of adjustment when you install the fans. Just raise them slightly if you find they're too close to the RAM.
