I'm working for a company that is looking to implement a virtual data room (VDR) for securely sharing documents with clients and external parties, mainly for due diligence purposes. I've been doing some research but it seems like many options are cluttered with unnecessary AI features. Given that we handle a lot of legally sensitive information, we're particularly interested in a solution that provides strong security, effective indexing, detailed audit trails, and efficient permission sharing. If anyone has recommendations or thoughts on reliable VDRs, I would love to hear them!

From my experience at a growth fund, we tested several VDRs like OneHub, Papermark, Peony.ink, Intralink, and Digify. Peony ended up being our best fit mainly because of its granular permission settings. It even allows us to tailor what different investors can see, and it was surprisingly affordable compared to other providers. Just make sure to test things out before deciding—changing platforms mid-project can be a real hassle.
I've been really happy with Papermark! The pricing is quite reasonable, and it doesn't have too many extra features that complicate things. It offers excellent tracking features for audits and due diligence. Plus, you have the option to self-host it if that’s something you’re interested in.
I work in legal tech and we've partnered with a company called Confidencial (confidencial.io). They offer a unique solution that tackles the main issue with traditional VDRs, which is that protection stops once a file is downloaded. They encrypt sensitive fields inside the document itself, keeping it searchable and usable while safeguarding crucial data. You still get full audit trails and can revoke access even after a file is downloaded. It's a different approach, but for handling sensitive info, it checks all the boxes you mentioned.
For many of our clients, we use Datasite for investor due diligence. While it might not be the cheapest option out there, the service and support are top-notch. They provide direct contact for support, which is a huge plus!
